terms & conditions Trans World Marine Sàrl - HR Kanton Fribourg CH-ID: CH-550-1199765-9 ALLGEMEINE EINKAUFS, VERKAUFS UND LIEFERBEDINGUNGEN ALLGEMEINES Die nachstehenden Allgemeinen Einkaufs, Verkaufs und Lieferbedingungen werden Inhalt des Kaufvertrages. Entgegenstehende oder Abweichende Einkaufsbedingungen oder sonstige Einschränkungen des Käufers/Lieferanten werden nicht anerkannt, es sei denn, Trans World Marine Sàrl hat Ihnen im Einzelfall ausdrücklich und schriftlich zugestimmt. ANGEBOTE; AUFTRÄGE 1. Angebote von Trans World Marine Sàrl sind bezüglich Preis, Menge, Lieferfrist und Liefermöglichkeit freibleibend. Zwischenverkäufe sind vorbehalten. 2. Aufträge des Käufers werden für Trans World Marine Sàrl durch schriftliche oder ausgedruckte Bestätigung von Trans World Marine Sàrl (auch Rechnung, Lieferschein oder Auftragsbestätigung) verbindlich. BERECHNUNG 1. Es werden die zum Zeitpunkt der Lieferung gültigen Preise von Trans World Marine Sàrl berechnet; diese gelten zzgl. der gesetzlichen Umsatzsteuer. 2. Erstkunden haben Trans World Marine Sàrl unverzüglich ihre, die Umsatzsteuer betreffende Identifikationsnummer bekanntzugeben. Bei Missbrauch oder Nichtbeachtung der umsatzsteuerrechtlichen Vorschriften haften die Vertragspartner Trans World Marine Sàrl für alle hieraus entstehenden Nachteile. 3. Sollte Trans World Marine Sàrl in der Zeit zwischen Vertragsabschluss und Lieferung seine Preise allgemein erhöhen, so ist der Käufer innerhalb einer Frist von zwei Wochen nach Bekanntgabe der Preiserhöhung zum Rücktritt vom Vertrag berechtigt, es sei denn, die Preiserhöhung beruht ausschließlich auf einer Erhöhung der Frachtbriefe. Das Rücktrittsrecht gilt nicht bei auf Dauer angelegten Lieferverträgen (Dauerschuldverträge mit Großabnehmern, Vertragshändlern etc.) ZAHLUNG 1. Rechnungen sind unmittelbar (Vorkasse) oder nach Vereinbarung bis 10 Tage nach dem jeweiligen Rechnungsdatum in bar oder Überweisung ohne jedwede Abzüge zahlbar. Bei Überschreitung der Zahlungsfrist können Zinsen in Höhe von 4% über dem jeweiligen Diskontsatz der Schweizer Nationalbank berechnet werden, sofern Trans World Marine Sàrl nicht selbst darüber hinaus gehende Zinsverpflichtungen zu erfüllen hat. Im Falle des Verzuges bleiben die gesetzlichen Rechte zur Geltendmachung des Nichterfüllungsschadens sowie zum Rücktritt vom Vertrag vorbehalten. Darüber hinaus werden etwaige Restschulden aus dem Vertragsverhältnis sofort fällig. Anderweitig vereinbarte Zahlungsziele werden schriftlich auf den gestellten Lieferscheinen u.o Rechnungen von Trans World Marine Sàrl unter " zahlbar bis : " vermerkt. Dieses mit Datum vermerkte Zahlungsziel ist für den Käufer bindend. 2. Die Hereingabe von Schecks und Wechseln bedarf der Zustimmung von Trans World Marine Sàrl; sie erfolgt zahlungshalber. Höchstlaufzeit für Wechsel ist neunzig Tage nach Rechnungsdatum. Diskont, Wechselspesen, Wechselsteuer u.ä. Abgaben ab dreißig Tagen nach Rechnungsdatum gehen zu Lasten des Käufers. 3. Bestehen begründete Zweifel an der Zahlungsfähigkeit oder Kreditwürdigkeit des Käufers und ist der Käufer trotz entsprechender Aufforderung nicht zur Vorkasse oder dazu bereit, eine geeignete Sicherheit zu stellen, so ist Trans World Marine Sàrl, soweit Trans World Marine Sàrl noch nicht geleitetet hat, zum Rücktritt vom Vertrag berechtigt. 4. Anzahlungen und Vorauszahlungen sind zuzüglich Umsatzsteuer zu leisten. 5. Zahlungen gelten erst dann als bewirkt, wenn der Betrag auf einem Konto von Trans World Marine Sàrl endgültig verfügbar ist. 6. Trans World Marine Sàrl behält sich vor, Zahlungen, unabhängig von einer etwaigen Bestimmung des Käufers, zuerst zur Begleichung der ältesten fälligen Rechnungsposten zuzüglich der darauf aufgelaufenen Verzugszinsen und Kosten zu verwenden; und zwar in der gesetzlichen Reihenfolge Kosten, Zinsen, Hauptforderung. 7. Ein Zurückbehaltungsrecht des Käufers ist ausgeschlossen. Der Käufer darf nur mit unbestrittenen oder rechtskräftig festgestellten Gegenansprüchen aufrechnen. 8. Die Lieferfrist von Trans World Marine Sàrl ruht, solange der Käufer sich wegen einer Verbindlichkeit gegenüber Trans World Marine Sàrl ganz oder zu einem nicht ganz unerheblichen Teil im Verzug befindet. LIEFERUNG 1. Trans World Marine Sàrl ist jederzeit bemüht, schnellstmöglich zu liefern. Feste Lieferfristen bestehen nicht. 2. Sofern abweichend hiervon ein fester Liefertermin vereinbart ist, hat der Käufer, im Falle des Verzuges von Trans World Marine Sàrl mit der Lieferung, hierfür eine angemessene Nachfrist zu setzen, die mindestens zwei Wochen beträgt 3. Richtige und rechtzeitige Selbstbelieferung an Trans World Marine Sàrl muss vorbehalten bleiben. 4. Als Tag der Lieferung gilt der Tag, an dem die Ware ein Lager von Trans World Marine Sàrl verlässt, und, wenn dieser Tag nicht feststellbar ist, der Tag, an dem sie Trans World Marine Sàrl zur Verfügung gestellt wird. 5. Wenn Packmittel von Seiten des Herstellers bereitgestellt werden, gelten ggf. ergänzend dessen besondere Bedingungen. HÖHERE GEWALT; VERTRAGSHINDERNISSE Höhere Gewalt jeder Art, unvorhersehbare Betriebs-, Verkehrs-oder Versandstörungen, Feuerschäden, Überschwemmungen, unvorhersehbare Arbeitskräfte-, Energie-, Rohstoff- oder Hilfsstoffmangel, Arbeitskräfte, behördliche Verfügungen oder andere von der leistungspflichtigen Partei nicht zu vertretende Hindernisse, welche die Herstellung, den Versand, die Abnahme oder den Verbrauch verringern, verzögern, verhindern oder unzumutbar werden lassen, befreien für die Dauer und den Umfang der Störung von der Verpflichtung zur Lieferung. Wird infolge der Störung die Lieferung um mehr als acht Wochen ab dem angemessenen oder vereinbarten Liefertermin verzögert, so sind beide Teile zum Rücktritt berechtigt. Bei teilweisem oder vollständigem Wegfall der Bezugsquellen von Trans World Marine Sàrl, gleich welcher Art, ist Trans World Marine Sàrl nicht verpflichtet, Deckungskäufe bei Dritten zu tätigen. Trans World Marine Sàrl ist in diesem Falle weiterberechtigt, Teillieferungen aus den verfügbaren Warenmengen unter Berücksichtigung eines etwaigen Eigenbedarfs zusammenzustellen und unter die Käufer nach eigenem Ermessen zu verteilen. VERSAND 1. Trans World Marine Sàrl behält sich die Wahl des Versandweges und die Versandart vor. Durch besondere Versandwünsche des Käufers verursachte Mehrkosten gehen zu dessen Lasten. Das gleiche gilt für nach Vertragsschluss eintretende Erhöhungen der Frachtsätze, etwaige Mehrkosten für Umleitung, Lagerkosten etc., sofern nicht frachtfreie Lieferung vereinbart ist. 2. Die Gefahr für Untergang, Verlust oder Beschädigung der Ware geht mit deren Absendung oder im Falle der Abholung durch den Käufer mit deren Bereitstellung auf diesen über. 3. Transportversicherung durch Trans World Marine Sàrl erfolgt nur auf ausdrücklichen Wunsch des Käufers gegen Kostenerstattung. MÄNGELRÜGEN 1. Mängelrügen werden nur berücksichtigt, wenn sie unverzüglich spätestens binnen einer Woche nach Eintreffen der Ware unter Übersendung von Belegen, ggf. Mustern, Packzetteln sowie Angabe der Rechnungsnummer, des Rechnungsdatums und der ggf. auf der Verpackung befindliche Signaturen erhoben werden. 2. Bei verborgenen Mängeln muss die schriftliche Rüge unverzüglich spätestens jedoch binnen zwei Monaten nach Eintreffen der Ware erfolgen. Die Beweislast für die Verborgenheit des Mängel trägt der Käufer. 3. Beanstandete Ware darf nur mit ausdrücklichem Einverständnis von Trans World Marine Sàrl zurückgesandt werden, nur dann gehen die Kosten hierfür zu Lasten von Trans World Marine Sàrl. 4. Transportschäden müssen zur Vermeidung des Verlustes von Schadenersatzansprüchen sofort bei Anlieferung der Ware vom Käufer beim Frachtführer reklamiert und unter Zeugen zu Protokoll gegeben werden. Nachträgliche Reklamationen können nicht berücksichtigt werden. BESTELLTE WAREN Der Lieferant bestätigt Trans World Marine Sàrl, dass die von dem Lieferanten gelieferten Artikel in der EU / Deutschland und der Schweiz verkehrsfähig sind, d.h. hinsichtlich Inhaltes und Verpackung, sowie der auf ihr enthaltenen Angaben den in der BRD und Schweiz geltenden gesetzlichen Bestimmungen entsprechen. Es handelt sich um Originalware, frei von Rechten Dritter und auf dem EU-Markt frei verkäuflich. Zoll- und steuerrechtliche Vorschriften wurden bei der Einfuhr eingehalten. Die Ware wurde im ordnungsgemäßen kaufmännischen Verkehr erworben. Entspricht die Ware nicht den vertraglichen Bestimmungen, ist der Verkäufer vorbehaltlich weitergehender Ansprüche - zur Rücknahme der Ware Zug um Zug gegen Rückzahlung des Kaufpreises verpflichtet. Der Lieferant verpflichtet sich Trans World Marine Sàrl von allen aus einer behaupteten etwaigen Rechtsverletzung und sich daraus ergebenden Ansprüchen Dritter freizustellen und etwa entstandene Aufwendungen zu ersetzen. VERMITTLUNGSPROVISIONEN; KUNDENSCHUTZ AN DRITTE Von Trans World Marine Sàrl vereinbarte Vermittlungsprovisionen an Dritte beziehen sich lediglich auf das vertraglich vereinbarte Einzelgeschäft. Provisionen auf Folge Geschäfte mit dem betreffenden Käufer werden nicht gewährt. Kundenschutz für den "Vermittler" gegenüber Trans World Marine Sàrl besteht nicht. Mündliche Vereinbarungen mit Trans World Marine Sàrl bedürfen einer rechtskräftigen, schriftlichen Grundlage. Vermittlungsprovisionen werden nur nach schriftlicher Vereinbarung mit dem Vermittler gezahlt. Der Provisionssatz muss für jedes getätigte Geschäft im Vorwege durch beide Parteien schriftlich in % und €/ SFR/USD bestätigt werden. Provision Zahlungen werden erst nach erfolgter Zahlung des Käufers und nach endgültiger Verfügbarkeit auf dem Konto von Trans World Marine Sàrl plus 10 Tage zur Auszahlung fällig. Eventuelle Nachforderungen oder Schadensansprüche durch den Käufer vermindern die Provision um den auf die Gesamtsumme bezogenen Prozentsatz der gezahlten Provision. Überzahlte Provisionen sind Rückerstattungspflichtig. Vereinbarungen zwischen Trans World Marine Sàrl und Vermittlern berühren den Käufer nicht. EIGENTUMSVORBEHALT 1. Die Waren gehen erst dann in das Eigentum des Käufers über, wenn dieser seine gesamten Verbindlichkeiten aus der Geschäftsverbindung mit Trans World Marine Sàrl, einschließlich Nebenforderungen, Schadenersatzansprüchen und Einlösungen von Schecks oder Wechseln, erfüllt hat. Bei laufenden Rechnungen gilt auch das vorbehaltene Eigentum als Sicherung für unsere Saldoforderung. Der Käufer ist berechtigt, die gelieferte Ware im gewöhnlichen Geschäftsverkehr, solange er nicht im Verzug ist, zu veräußern, Verpfändung oder Sicherungsübereignung ist ihm untersagt. 2. Trans World Marine Sàrl ist berechtigt, ohne Nachfristsetzung und ohne vom Vertrag zurückzutreten die Vorbehaltsware vom Käufer heraus zu verlangen falls dieser mit der Erfüllung seiner Verbindlichkeiten dem Verkäufer gegenüber im Verzug ist. Trans World Marine Sàrl ist alternativ berechtigt, Vorauszahlung zu verlangen. In der Rücknahme der Vorbehaltsware liegt ein Rücktritt vom Vertrag nur dann, wenn Trans World Marine Sàrl dies ausdrücklich schriftlich erklärt. Veräußert der Käufer die von Trans World Marine Sàrl gelieferte Ware - gleichgültig in welchem Zustand - so tritt er damit sofort die ihm aus der Veräußerung entstehenden Forderungen aus Warenlieferungen an Trans World Marine Sàrl ab. 3. Auf Verlangen von Trans World Marine Sàrl ist der Käufer verpflichtet, die Abtretung den Drittkäufern bekanntzugeben und die zur Geltendmachung unserer Rechte gegen Drittkäufer erforderlichen Auskünfte zu geben und Unterlagen auszuhändigen. 4. Wird Vorbehaltsware zusammen mit anderen Sachen zu einem Gesamtpreis veräußert, so beschränkt sich die Abtretung auf den anteiligen Betrag der Rechnung von Trans World Marine Sàrl für die mitveräußerte Vorbehaltsware. GERICHTSSTAND; ERFÜLLUNGSORT; WIRKSAMKEITSKLAUSEL 1. Ausschließlicher Gerichtstand ist für beide Seiten Bern. 2. Erfüllungsort für die Lieferung ist die jeweilige Versandstelle. 3. Sollten einzelne Bestimmungen dieser Verkaufs-u. Lieferbedingungen ganz oder teilweise unwirksam sein oder werden, berührt dies die Wirksamkeit der übrigen Bestimmungen oder Teilen hiervon sowie das zugrunde liegende Vertragsverhältnis nicht. Eine mögliche unwirksame Regelung haben die Parteien durch eine solche, wirksame Regelung zu ersetzen, die dem wirtschaftlichen Zweck der unwirksamen Regelung möglichst nahe kommt.
